For a Company to be able to realize a public offering of its shares it has to prepare a prospectus first, gain a decision from Financial Supervision Authority about its acceptance and publish it in the manner prescribed by law. The prospectus is the only formal document basing on which the investors make their decision about acquiring the shares of the Issuer.

The scope and arrangement of data presented within the prospectus is determined by regulations common to all European Union countries. They have to present reliable and complete information that include Companies specifics and enable Investors to make a deliberate assessment of its economic, financial and assets situation together with development perspective as well as right and obligations arising from owning the shares. Its required that the persons responsible for the prospect where indicated by name. Those persons need to declare that presented information are compatible with reality that nothing that could influence that information has been omitted. Individual entities that prepared the prospect are responsible for those fragments which they prepared but the Issuer vouches for the full content. For committing any irregularities strict sanctions have been provided both for the Company and for entities who represent it (including a fine of 5 million zloty and imprisonment of up to 5 years).

The actions undertaken by PKF

  • Organization of work on the prospectus within the Company.
  • Selection of an investment company for the purpose of proceedings before the office of the Financial Supervision Authority.
  • Compilation of and supervision over filing a prospectus in the office of the Financial Supervision Authority.
  • Supervision over the proceedings before the Financial Supervision Authority.
  • Supervision over the publication of the prospectus and its supplements.
