Bonds and the Catalyst market

A bond is a security issued in a series, in which the issuers state that they are indebted to the bond owner (bondholder) and oblige themselves to provide the bondholder with money or in-kind contribution.

Bonds can be issued by:

• Business entities, entities having legal personality and partnerships limited by shares,
• Savings and credit unions and the National Credit Union,
• Local government units, unions of such units and the capital city of Warsaw,
• Other entities having legal personality, entitled to issue bonds pursuant to the law,
• Financial institutions, a member of which is the Republic of Poland or the National Bank of Poland, or at least one of the member countries of the Organisation for Economic Co-operation and Development (OECD), or the national bank of such a country, or institutions with which the Republic of Poland has concluded agreements regulating the activity of such institutions in the Republic of Poland and including appropriate provisions concerning the issuing of bonds.

Catalyst is a bond market run by the Warsaw Stock Exchange as an alternative trading system. Bonds traded on the Catalyst market include corporate, cooperative, council and treasury bonds issues, as well as covered bonds.

If you are a joint-stock company:

• With at least three years of history,
• Conducting profitable activity, with a safe level of debt ratios,
• In need of 5-20 million PLN in the short term or 20-40 million PLN in the medium or long term,
• Being a public company of a well-known and recognisable brand,
• With a transparent ownership structure,
• With the possibility of establishing a security, preferably on property,

Then, from the point of view of investors, you are probably a perfect candidate to issue corporate bonds!
