NewConnect

NewConnect is an organised trading system functioning pursuant to the rules of the Alternative Trading System, created by the Warsaw Stock Exchange. NewConnect is a share market for small and medium enterprises, as well as enterprises at an early stage of development.

On NewConnect, an issuer can only be a joint-stock company or a partnership limited by shares:

• Which prepares an adequate public information document,
• Which issues unrestricted shares,
• Which is not subject to liquidation or bankruptcy proceedings,
• With the nominal value of shares (with a few exceptions) not lower than PLN 0.10,
• With equity of at least PLN 500,000.

Pursuant to the requirements of the ATS Organiser, the role of an Authorised Advisor of NewConnect is to authorise the information document and to support the Issuer in the fulfilment of disclosure obligations during their first 36 months of quotation.

As an Authorised Advisor of NewConnect, we offer you a package of comprehensive services supporting you in the process of acquiring capital and fulfilling the ATS’s formal requirements, particularly with regard to:

• Transformation of the company’s legal form,
• Company valuation and due diligence concerning the application of good practices by the NewConnect Authorised Advisor,
• Private offering for the company’s stocks,
• The preparation of necessary documents, including the offer and information documents, applications to the National Depository of Securities and the Stock Exchange, instructions concerning the fulfilment of the issuer’s disclosure obligations, draft resolutions,
• The choice of an issue agent and a market animator or market maker,
• The fulfilment of disclosure obligations after the shares are quoted on NewConnect (serving as the NewConnect Authorised Advisor of the listed company).
